This Terms of Service Agreement (“Agreement”) is a legally binding contract between you (“User,” “you”) and XEN LLC d/b/a LaserSell (“Company,” “we,” or “us”) governing your access to and use of our websites, APIs, WebSocket streams, documentation, and related services (collectively, the “Services”).

The Services currently include LaserSell, a suite of trading infrastructure tools and non-custodial smart contracts that facilitate blockchain transactions. The Services may be accessible via domains we operate such as www.lasersell.io, app.lasersell.io, api.lasersell.io, stream.lasersell.io, and our community channels.

By registering an account, generating an API key, or accessing any part of the Services, you agree to be bound by this Agreement. If you do not agree, do not use the Services. The Services are intended for users 18 years of age and older. By using the Services, you represent that you are at least 18 years old.

IMPORTANT NOTICE REGARDING ARBITRATION AND CLASS ACTION WAIVER: Section 11 of this Agreement contains a mandatory arbitration agreement and class action waiver. Please read it carefully.

1. The Services

1.1 Description. LaserSell provides access to an automated transaction building API (api.lasersell.io), a live market data WebSocket stream (stream.lasersell.io), a token swap service, a web trading application (app.lasersell.io), and a desktop application for account management, wallet management, and trading operations.

1.2 Non-Custodial Nature. The Services are non-custodial. We do not host, store, or have access to your private keys. The desktop application and API/SDK clients sign transactions locally on your machine. The web trading application uses Privy, a third-party wallet infrastructure provider, to store your private key in a Trusted Execution Environment (TEE), a hardware-isolated enclave that neither LaserSell nor Privy personnel can access. You retain full control of your key and may export it at any time. When you enable web trading, you authorize LaserSell to request Privy to sign transactions on your behalf (delegated signing). By using the web trading feature, you acknowledge and consent to this delegated signing model and agree to Privy's terms of service.

1.3 Enterprise Users. Users operating on custom "Enterprise" tiers who have completed our onboarding intake and signed a separate Master Services Agreement (MSA) are governed by the terms of that MSA, which shall supersede this Agreement in the event of a conflict.

2. Account Registration and Security

2.1 Registration. To access the API and Stream, you must register an account and generate an API key via app.lasersell.io. You agree to provide accurate and complete information.

2.2 API Key Security. You are solely responsible for maintaining the confidentiality of your API keys and account credentials. You must not share your API keys with unauthorized third parties or embed them in publicly accessible code. You are responsible for all activity that occurs under your API keys.

2.3 User-Generated Content. You may upload a profile picture and choose a referral username. You represent and warrant that any content you upload does not violate any applicable law, infringe on any third party's intellectual property or privacy rights, or contain obscene, hateful, violent, misleading, or otherwise objectionable material. We reserve the right to remove any user-generated content and suspend accounts that violate this policy, without notice or refund.

3. Proprietary Rights and Licensing

3.1 Open Source Components. The LaserSell client application and the LaserSell SDK are provided under the MIT License. Your use of those specific components is governed by the terms of the MIT License, which permits free use, modification, and distribution.

3.2 Proprietary Backend. The hosted backend infrastructure—specifically api.lasersell.io, stream.lasersell.io, and the app.lasersell.io dashboard ("Hosted Services")—are proprietary. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use these Hosted Services solely in accordance with your subscription tier and this Agreement.

3.3 Restrictions. You may not reverse-engineer, decompile, or attempt to extract the source code of our proprietary Hosted Services or smart contracts (except to the extent permitted by applicable law).

3.4 Application Integration. We grant you permission to integrate our API and WebSocket services into your own applications, trading scripts, and internal tools, provided such integration complies with the rate limits and acceptable use policies defined in this Agreement.

3.5 Tier 2 Whitelabeling and Commercial Use. Users actively subscribed to Tier 2 are granted an extended license to use the Services as backend infrastructure for their own commercial applications (such as custom trading bots, signal groups, or proprietary dashboards). Tier 2 users may surface features and data derived from our Services to their own end-users without requiring public attribution or "Powered by LaserSell" branding. However, this does not permit the direct reselling, sublicensing, or raw exposure of our API keys to third parties. All end-user activity routed through a Tier 2 application must remain strictly within the capacity limits established for that tier.

4. Usage Limits

4.1 Fair Use. All usage of the Services is subject to fair use limits designed to maintain infrastructure stability for all users.

4.2 Subscription Tiers and Limits. Access to the stream.lasersell.io endpoint is strictly governed by the following concurrency, capacity, and persistence limits based on your active tier. Pooling, multiplexing, or sharing a single API key across multiple users in an attempt to bypass these overall capacity limits is strictly prohibited and will result in immediate API key revocation without refund.

  • Personal (Free Tier):
    • Max Wallets per Session: 1 | Max Positions per Wallet: 2 | Max Positions per Session: 2 | Max Sessions per API Key: 2
    • Session Persistence: Includes a 45-minute inactivity timeout. Sessions will be automatically disconnected if no active trading activity is detected within 45 minutes.
  • Tier 1 ($99/mo):
    • Max Wallets per Session: 5 | Max Positions per Wallet: 100 | Max Positions per Session: 500 | Max Sessions per API Key: 2
    • Session Persistence: Supports 24/7 persistent background monitoring with no inactivity timeout.
  • Tier 2 ($249/mo):
    • Max Wallets per Session: 200 | Max Positions per Wallet: 100 | Max Positions per Session: 20,000 (Hard Cap) | Max Sessions per API Key: 2
    • Session Persistence: Supports 24/7 persistent background monitoring with no inactivity timeout.

We apply global rate limits to api.lasersell.io to protect infrastructure health. We reserve the right to modify these limits to maintain network stability.

5. Subscriptions, Billing, and Proration

5.1 Whop Billing. Paid tiers are billed on a recurring monthly basis via our payment processor, Whop. By providing a payment method, you authorize us to charge your selected tier fees automatically at the start of each billing cycle.

5.2 Upgrades and Downgrades. If you choose to upgrade or downgrade your subscription tier during an active billing cycle, your account will be billed on a prorated basis. If you upgrade, you will be charged the prorated difference for the remainder of the current cycle immediately. If you downgrade, a prorated credit will be applied to your account balance, which will automatically be applied toward future recurring billing cycles. We do not issue direct cash refunds to your payment method for prorated downgrades.

5.3 Cancellations. You may cancel your subscription entirely at any time via the app.lasersell.io dashboard. Upon cancellation, your API key will retain its current tier access until the end of the current paid billing cycle. We do not provide prorated refunds or credits for full account cancellations.

6. Smart Contract Router Fees

6.1 Transaction Fees. Certain transactions built using our API may be routed through the proprietary LaserSell Solana smart contract program. The router applies a per trade routing fee on the gross proceeds of all routed Buy and Sell transactions. The fee rate depends on your active subscription tier:

  • Personal (Free): 2% per trade, with a minimum fee of 0.01 SOL per transaction.
  • Tier 1 (Professional, $99/mo): 0.9% per trade, with a minimum fee of 0.01 SOL per transaction.
  • Tier 2 (Advanced, $249/mo): 0.5% per trade, with no minimum fee.
  • Enterprise: Custom fee rates as defined in your Master Services Agreement.

6.2 Automatic Deduction. The applicable routing fee is enforced by the smart contract and is automatically deducted and transferred to the Company’s designated fee wallet simultaneously with the execution of the trade. By submitting transactions generated by our API to the blockchain, you explicitly acknowledge and consent to this fee. The Company reserves the right to adjust fee rates with reasonable notice.

6A. Token Swap Service and Fees

6A.1 Swap Service. LaserSell provides a token swap service that allows you to exchange one token for another on the Solana blockchain. When you initiate a swap, the Services obtain a quote from a third-party decentralized exchange aggregator, construct the swap transaction, and return it to you for signing and submission.

6A.2 Platform Fee. A platform fee of up to 0.5% (50 basis points) may be applied to swap transactions facilitated through the Services. This fee is embedded in the swap transaction and is automatically deducted from the output amount at the time of execution. By using the swap service, you acknowledge and consent to this fee.

6A.3 Third-Party Routing. Swap transactions are routed through third-party decentralized exchange protocols and liquidity sources. We do not control or guarantee the availability, pricing, liquidity, or execution quality of these third-party services. Swap quotes are estimates and the final executed amount may differ due to price movement, slippage, or network conditions.

6A.4 No Guarantee of Best Price. While we endeavor to provide competitive swap quotes, we do not guarantee the best available price across all decentralized exchanges or liquidity sources on the Solana blockchain.

6B. Web Trading

6B.1 Delegated Signing. When you enable web trading, you authorize LaserSell to request transaction signing from Privy's Trusted Execution Environment on your behalf. This includes automatic sell transactions triggered by your configured exit strategy, mirror (copy) trading buy transactions, and manual sell requests initiated through the dashboard. You remain solely responsible for configuring your trading strategy and funding your wallet.

6B.2 Privy Wallet. Your web trading wallet is managed by Privy, Inc. Your private key is stored in Privy's hardware-isolated TEE and is never accessible to LaserSell. You may export your private key at any time through Privy's secure interface. Each account is limited to a maximum of two (2) web wallets (created or imported). By using web trading, you agree to Privy's Terms of Service and Privacy Policy.

6B.3 Execution Risk. Web trading executes transactions automatically based on your configured strategy, even when you are not actively monitoring the dashboard. LaserSell is not liable for losses resulting from strategy misconfiguration, market volatility, slippage, failed transactions, or periods when the service is unavailable.

6B.4 No Guarantee of Execution. While we endeavor to execute trades promptly when strategy thresholds are met, we do not guarantee that all exit signals will result in successful on-chain transactions. Network congestion, insufficient wallet balance for fees, Privy service disruptions, or other technical factors may prevent execution.

6C. Referral Program

6C.1 Participation. Users may opt into the LaserSell Referral Program by claiming a unique referral username through the dashboard. Participation is voluntary and subject to these terms.

6C.2 Trading Fee Earnings. Referrers earn a percentage of the protocol trading fees generated by their referrals' SOL-denominated trades: 30% for direct referrals (Tier 1), 3% for second-level referrals (Tier 2), and 2% for third-level referrals (Tier 3). Trading fee earnings are paid instantly and on-chain: the LaserSell router program automatically splits the fee and transfers the referrer's share directly to their registered payout wallet in the same transaction as the trade. LaserSell does not hold, custody, or intermediate referral trading fee earnings at any point. The referrer must register a valid Solana payout wallet; if the payout wallet is unfunded and does not meet Solana rent exemption requirements, small payouts may be deferred until the wallet is funded or the accumulated amount is sufficient to cover rent. Trades executed in USD1 or other non-SOL assets are not eligible for referral trading fee earnings.

6C.3 Subscription Earnings. Referrers earn a 30% recurring commission on subscription payments made by their direct referrals, paid in USD via Whop for as long as the referred user remains subscribed. Subscription earnings are subject to a 30 day hold period, subject to Whop's payout schedule, before being transferred to the referrer. Subscription earnings apply to direct referrals only.

6C.4 Referral Trial. Users who sign up through a referral link may receive a temporary promotional tier upgrade at no cost. The duration and benefits of any promotional period are determined by LaserSell and may be modified or discontinued at any time.

6C.5 Anti-Abuse. We reserve the right to suspend or terminate referral accounts, revoke earnings, and ban usernames if we determine, in our sole discretion, that the referral program is being abused through self-referral, wash trading, bot-generated accounts, or other fraudulent activity.

6C.6 Username Moderation. We reserve the right to revoke, reassign, or modify any referral username at any time if we determine, in our sole discretion, that it is offensive, misleading, infringes on trademarks, impersonates another person or entity, or is otherwise damaging to the LaserSell brand or community. If your username is changed, your referral relationships and accrued earnings are preserved under the new username.

6C.7 Self-Referral Prohibited. Referring yourself, creating multiple accounts to generate referral earnings, or any other scheme designed to artificially inflate referral earnings is strictly prohibited and will result in immediate account termination and forfeiture of all earnings.

6C.8 Program Modifications and Suspension. We reserve the right to modify commission rates, payout mechanics, and other program parameters, or to suspend or discontinue the referral program entirely, at any time with reasonable notice. Earnings already transferred on-chain prior to any modification are final.

7. Disclaimers and Assumption of Risk

7.1 Trading Risk. Cryptocurrency trading is highly volatile and inherently risky. You can lose all of your funds. The Services are provided for informational and execution-assistance purposes only. We are not financial advisors, and no part of the Services constitutes financial, investment, or trading advice.

7.2 "As Is" Basis. The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind. We explicitly disclaim all warranties, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

7.3 Technical Failures. We do not guarantee that the Services will be uninterrupted, error-free, or operate in real-time. We are not liable for any losses resulting from API downtime, WebSocket disconnects, missed market events, failed transactions, network congestion, or smart contract exploits.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall XEN LLC, its founders, affiliates, or employees be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, data, or loss of digital assets/cryptocurrency arising out of or relating to the use of, or inability to use, the Services. Our total aggregate liability to you under this Agreement shall not exceed the amount you paid to us for the subscription giving rise to the claim in the one (1) month preceding the event.

9. Indemnification

You agree to indemnify, defend, and hold harmless XEN LLC from and against any claims, disputes, demands, liabilities, damages, losses, and costs and expenses, including reasonable legal and accounting fees arising out of or in any way connected with your access to or use of the Services, your violation of this Agreement, or your execution of blockchain transactions using our software.

10. Termination

We may suspend or terminate your access to the Services, downgrade your tier, or revoke your API keys immediately and without notice if we determine, in our sole discretion, that you have violated this Agreement, attempted to abuse the rate limits, or engaged in illegal activity. No refunds will be provided for terminated accounts. Upon termination, active web trading sessions are immediately stopped. Trading fee referral earnings already transferred on-chain prior to termination are final; any pending subscription commission earnings are forfeited.

11. Dispute Resolution and Arbitration

11.1 Binding Arbitration. Any dispute arising out of or relating to this Agreement or the Services shall be resolved by binding, individual arbitration administered by the American Arbitration Association (AAA) in accordance with its rules.

11.2 Class Action Waiver. You agree to bring claims against us only in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

12. General Provisions

12.1 Governing Law. This Agreement and any action related thereto will be governed by the laws of the State of Florida, without regard to its conflict of laws provisions.

12.2 Severability. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

12.3 Changes to Terms. We may modify this Agreement at any time. We will post the updated terms on our site and update the "Last updated" date. Continued use of the Services after changes become effective constitutes acceptance.
